Welcome to Chiaro! By accessing or using our mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our App.

These Terms constitute a legally binding agreement between you and Chiaro ("we," "us," or "our").

2. Description of Service

Chiaro is a startup opportunity matching platform that connects university students with research positions at startups, labs, and academic institutions. Our service includes:

• Profile creation and resume management
• AI-powered matching with startup opportunities
• Email notifications for matches
• Application tracking and communication tools

3. Eligibility

You must meet the following requirements to use Chiaro:

• Be at least 18 years old
• Be currently enrolled in or recently graduated from a university or college
• Have a valid email address
• Provide accurate and truthful information

By using Chiaro, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

4.1 Account Creation

To use Chiaro, you must create an account by signing in with Google. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

4.2 Account Responsibility

You are responsible for all activities that occur under your account. You may not:

• Share your account with others
• Create multiple accounts
• Use another person's account without permission
• Sell, transfer, or assign your account

5. Gmail API Usage

By granting Chiaro access to your Gmail account, you authorize us to:

• Send personalized startup opportunity notifications to your email
• Track delivery status of notifications we send
• Monitor engagement with match notifications

You acknowledge that:

• You can revoke Gmail access at any time through your Google Account settings
• We will only access emails that our system sends to you
• We comply with Google's API Services User Data Policy
• Revoking access may limit certain features of the App

6. User Conduct

6.1 Acceptable Use

You agree to use Chiaro only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Provide false or misleading information
• Impersonate another person or entity
• Harass, abuse, or harm other users
• Upload viruses or malicious code
• Scrape or data mine the App
• Attempt to gain unauthorized access to our systems
• Use the App for any illegal purpose
• Spam or send unsolicited communications
• Reverse engineer or decompile the App

6.2 Content Standards

Any content you submit (resume, profile, messages) must:

• Be accurate and truthful
• Not contain offensive, discriminatory, or harmful content
• Not infringe on intellectual property rights
• Not contain confidential information of others

7. Intellectual Property

7.1 Our Property

Chiaro and all associated content, features, and functionality are owned by us and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our software
• Use our trademarks or branding
• Create derivative works

7.2 Your Content

You retain ownership of content you submit (resume, profile information). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, and display your content to provide the service
• Share your profile with research opportunity providers
• Use anonymized data for analytics and improvement

8. Startup Opportunities

8.1 No Guarantee

We do not guarantee:

• That you will be matched with opportunities
• That matches will lead to interviews or offers
• The accuracy of opportunity postings
• The conduct of startup opportunity providers

8.2 Third-Party Relationships

Startup opportunities are posted by third parties (startups, labs, institutions). We are not:

• An employer or recruiting agency
• Responsible for the hiring decisions of opportunity providers
• A party to any agreement between you and an opportunity provider
• Liable for the actions or omissions of opportunity providers

9. Premium Features and Payments

Chiaro may offer premium features for a fee. If you purchase premium features:

• Prices are displayed in the App and may change with notice
• Payments are processed through Apple App Store or Google Play Store
• Subscriptions auto-renew unless cancelled
• Refunds are subject to our refund policy and platform policies
• You are responsible for applicable taxes

10. Disclaimers

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, including:

• Warranties of merchantability and fitness for a particular purpose
• That the App will be uninterrupted or error-free
• That defects will be corrected
• That the App is free of viruses or harmful components

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed $100 or the amount you paid in the last 12 months
• We are not liable for actions of third-party opportunity providers
• We are not liable for loss of data, opportunities, or business relationships

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another
• Content you submit to the App

13. Privacy

Your use of Chiaro is also governed by our Privacy Policy. By using the App, you consent to our collection and use of information as described in the Privacy Policy.

14. Termination

14.1 By You

You may terminate your account at any time by contacting us at chiaroai2025@gmail.com.

14.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Harm other users or our reputation
• For any other reason with or without notice

14.3 Effect of Termination

Upon termination:

• Your access to the App will be revoked
• We may delete your account data
• Outstanding obligations survive termination

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms in the App
• Updating the "Last Updated" date
• Sending an email notification (for significant changes)

Your continued use of the App after changes constitutes acceptance of the modified Terms.

16. Dispute Resolution

16.1 Informal Resolution

16.2 Arbitration

Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court, except:

• You may bring small claims court actions
• You may seek injunctive relief in court

16.3 Class Action Waiver

You agree to resolve disputes on an individual basis. You waive the right to participate in class actions or class-wide arbitration.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any legal action must be brought in the courts of California.

18. Miscellaneous

18.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Chiaro.

18.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

18.3 No Waiver

Our failure to enforce any right does not waive that right.

18.4 Assignment

You may not assign these Terms. We may assign these Terms without restriction.

18.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
